🤝 Our team represented the seller in this transaction. 

🧑‍⚖️ We have reached the agreements fast with the buyers’ legal representatives from the same country and they immediately scheduled the notarial signing date.

📝 As we agreed, our team prepared the internal agreements and the bilingual SPA, while the responsibility for the local language translation of this Agreement was entrusted to the buyer’s legal counsels.

🖨️ Due to repeated delays from the other side, the final translated version was shared only at the very last stage. After sharing the English version of the SPA, we asked the Buyers counsels to ensure translations are fully aligned. They confirmed:

 “Everything matches. We can proceed.”

❗️And this is where our careful approach proved essential.

✍️ Even though the local language translation was not our responsibility, our team decided to double-check the alignment between the English SPA we drafted and the local language version provided by the buyers’ counsel - simply because we know the local language prevails in notarial transactions.

❗️This final review revealed significant discrepancies.

Some clauses in the local language version did not reflect the agreed English text and in certain cases had absolutely opposite meaning.

Such inconsistencies could have had serious legal implications after signature at the notary.

🤝 We immediately addressed the issue, coordinated a correction with the Buyers Legal Counsels, and ensured that both versions of the SPA were fully synchronized before the signing.

The deal proceeded smoothly - with full protection for the both parties rights and without any risks left unresolved.
